MEMBER'S AGREEMENT

We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. Such changes and/or modifications shall become effective immediately upon the posting thereof. Please review the terms and conditions periodically. Your continued use of the Site following the posting of changes and/or modifications will constitute your acceptance of the revised terms and conditions.

TERMS AND CONDITIONS:
Staniuny provides information about other family members, living and deceased. The site provides means by which members can interact with the media (stories and photos), but the site is intentionally not built for direct messaging between its members.
Staniuny encourages other the use of other tools for direct communication such as the telephone and actual visits.
Members agree not to hold Staniuny (or Staniuny's agents or employees) liable for any information, data or services delivered which originated through the Site.

Staniuny reserves the right to review the communication for all purposes on behalf of the Members and Members, respectively. Staniuny reserves the right to suspend privileges to any Member or Member not adhering to the policies of the Site.

Eligibility
You must be a listed family member of the site to use the services offered on this Site in accordance with all terms and conditions herein. You should not share your credentials or give your access to others. Each member should use their own email and password credentials.

If you are not 18 years of age, you agree to make your legal guardian aware of your use of this site. Members of legal age hereby agree to supervise usage by, and be responsible for the actions of, any minors who use your computer and/or account to access Staniuny. Guardians should always supervise minor's use of the Internet.

Prohibited Use

No person may use this Site to recruit, solicit, or contact in any form Members or Members for employment or contracting for a business not affiliated with Staniuny.

Members must not engage in insulting or harmful activity towards other members or themselves. Those members found to be engaged in such activity will have their participatory privileges suspended.

Member Account, Password and Security
Member is entirely responsible for maintaining the confidentiality of any password and account number provided by Staniuny for accessing the Site, and is fully responsible for all activities that occur under Member's password or account. Member agrees to immediately notify Staniuny of any unauthorized use of Member's password or account or any other breach of security. Staniuny will not be liable for any loss that you may incur as a result of someone else using Member's password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Staniuny or another party due to someone else using Member's account or password. You may not use anyone else's account at any time, without the permission of the account holder.

OWNERSHIP OF INTELLECTUAL PROPERTY
All site software, design, text, images, photographs, illustrations, audio clips, video clips, artwork, graphic material, or other copyrightable elements, and the selection and arrangements thereof, and trademarks, service marks and trade names (the "Material") are the property of Staniuny, and/or its subsidiaries, affiliates, assigns, licensors or other respective owners and are protected, without limitation, pursuant to copyright and trademark laws. Staniuny hereby grants Member a personal, revocable, non-perpetual, non-exclusive, non-assignable and non-transferable license to use the Site provided that Member does not (i) copy, modify, create a derivative work of, reverse engineer, reverse assemble, decompile or otherwise attempt to discover any source code, (ii) modify or attempt to modify the Site in any manner or form. You agree not to reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate any Material to any third party (including, without limitation, the display and distribution of the Material via a third party website) without the express prior written consent of Staniuny. Use of Staniuny and/or its licensors' Material is only permitted with Staniuny's express written permission. Any unauthorized or prohibited use may subject the offender to civil liability and criminal prosecution under applicable laws.

COMMON AREAS
To the extent that portions of this Site provide users an opportunity to post and exchange information, ideas and opinions in the "Hallway" and "Message Board", Member agrees to use these areas only to send and receive messages and material that are proper and related to the particular forum. Please be advised that Postings do not necessarily reflect the views of Staniuny. In no event shall Staniuny assume or have any responsibility or liability for any Postings or for any claims, damages or losses resulting from their use and/or appearance on this Site. You hereby represent and warrant that you have all necessary rights in and to all Postings you provide and all information they contain and that such Postings shall not infringe any proprietary or other rights of third parties or contain any libelous, or otherwise unlawful information. By way of example, and not as limitation, Member agrees not to:

� Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
� Publish, post, upload, distribute or disseminate any profane, defamatory, infringing, obscene or unlawful topic, name, material or information;
� Use the Site for any purpose, which is in violation of local, national or international law;
� Upload files that contain software or other material that violates the intellectual property rights (or rights of privacy or publicity) of any third party;
� Upload files that contain viruses, corrupted files, or any other similar software or Services that may damage the operation of another's computer;
� Advertise or offer to sell any goods or services for any commercial purpose on the Site, which are not relevant to the services offered on the Site;
� Conduct or forward surveys, contests, pyramid schemes or chain letters;
� Impersonate another person or allow any other person or entity to use Member's identification to post or view comments;
� Post the same note repeatedly (referred to as 'spamming'). Spamming is strictly prohibited;
� Download any file posted by another Member that Member knows, or reasonably should know, cannot be legally distributed through the Site;
� Restrict or inhibit any other Member from using and enjoying the site's services;
� Post any personal information about another Member; or
� Supply any information by Member or Member's household that is untrue or inaccurate.
You hereby authorize Staniuny to use, and authorize others to use, your Postings in whole or in part, throughout the universe in perpetuity in any and all media, now known or hereafter devised, alone, or together or as part of other material of any kind or nature. Without limiting the foregoing, Staniuny will have the right to use and change the Postings in any manner that Staniuny may determine. Additionally, Staniuny may sweep its "Hallway" and Message Board" Areas periodically in its sole discretion.
Staniuny does not allow Postings which contain:
� private or personal information which might identify a user;
� profanity or obscenities;
� personal attacks on other individuals;
� slanderous, defamatory, obscene, pornographic, threatening and harassing comments; and/or
� other information that Staniuny deems in its sole discretion to be inappropriate for this Site.

The site and services may be used for noncommercial purposes only. Users may not post any information intended to promote and/or generate revenue for any third party business activity. Although Staniuny periodically monitors the content posted on the Site, we cannot be responsible for the views or opinions expressed by third parties. Nonetheless, Staniuny will make every effort to ensure that the site and services best serve the interests of all users and, therefore, Staniuny reserves the right to refuse to post, edit, or delete messages that violate the above-referenced terms, as well as revoke the privileges of users who do not comply with such rules.

THIRD PARTY HYPERLINKS

The appearance of external hyperlinks and/or postcards generated by third parties does not constitute endorsement by Staniuny, its subsidiaries or affiliates of the opinions or views expressed by these third party websites and Staniuny does not verify, endorse, or take responsibility for the accuracy, currency, completeness or quality of the content contained at these sites. Furthermore, Staniuny is not responsible for the quality or delivery of the products or services offered, accessed, obtained by or advertised at such sites. As such, neither Staniuny nor its subsidiaries and affiliates will be responsible for any errors or omissions or for the results obtained from the use of such information contained in these sites. Finally, Staniuny will under no circumstances be liable for any direct, indirect, incidental or special loss or other damage, whether arising from negligence, breach of contract, defamation, infringement of copyright or other intellectual property rights, caused by the exhibition, distribution or exploitation of any information or content contained within these third party hyperlinked sites.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless, Staniuny, its affiliates, and their respective officers, directors, employees, agents, licensors, representatives, and third party providers to the Site from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this agreement by you. Staniuny reserves the right to assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with Staniuny in asserting any available defenses.

DISCLAIMER AND LIMITATION OF LIABILITY

This site and all materials contained on it are distributed and transmitted on an "as is" and "as available" basis, without warranties of any kind, either expressed or implied, including, without limitation, warranties, of merchantability or fitness for a particular purpose.

Staniuny is not responsible or liable for any infections or contamination of your system, or delays, inaccuracies, errors, or omissions arising out of your use of this Site or with respect to the information and material contained on this Site. The entire risk as to the quality, accuracy, adequacy, completeness, correctness and validity of any material rests with you. To the fullest extent permissible pursuant to applicable law, Staniuny, its affliliates, and their respective officers, directors, employees, agents, licensors, representatives, and third party providers to the site will not be liable for damages of any kind including, without limitation, compensatory, consequential, incidental, indirect, special or similar damages, that may result from the use of, or the inability to use, the materials contained on this site whether the material is provided or otherwise supplied by Staniuny or any third party.

The Member agrees not to hold Staniuny, Staniuny's agents and employees, officers, directors, or participants in Staniuny's affiliate Service liable for any advice or services delivered which originated through the Site or was otherwise provided by a Member and releases all such persons from claims, demands and damages (actual or consequential) of every kind and nature, known and unknown, disclosed and undisclosed, arising out of or in any way connected with such disputes.

MISCELLANEOUS

This Agreement will become effective immediately upon any use by the Member of the Site and shall remain effective unless terminated by either party as provided hereunder. This Agreement contains the entire understanding and supersedes all prior understanding of the parties hereto relating to the subject matter hereof, and cannot be changed or terminated orally. Either party may terminate this Agreement by providing the other with written or email notice of such termination, which shall be effective immediately upon delivery of such notice to the other party. Staniuny may terminate this Agreement immediately without notice for any breach by the Member of this Agreement or any applicable policy of Staniuny as posted on the Site from time to time. Furthermore, Staniuny may terminate this agreement without notice to Member by terminating the rights of Member to use the Site. In the event of termination or expiration, the following sections shall survive: Ownership of Intellectual Property; Indemnification; Disclaimer and Limitation of Liability; Miscellaneous and Privacy Policy and Copyright Notice. If any provision of this Agreement is found to be illegal or unenforceable, the Agreement will be deemed curtailed to the extent necessary to make it legal and enforceable and will remain, as modified, in full force and effect. Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail return receipt requested, or electronic mail. Nothing in this Agreement shall be construed as making either party the partner, joint venture, agent, legal representative, employer, contractor or employee of the other. Neither party shall have, or hold itself out to any third party as having, any authority to make any statements, representations or commitments of any kind, or to take any action that shall be binding on the other except as provided for herein or authorized in writing by the party to be bound.

PRIVACY POLICY AND COPYRIGHT NOTICE
Staniuny's Privacy Policy located on the Site, as modified by Staniuny from time to time, shall govern any disclosure or use of Member's personal information. Staniuny's Copyright Notice is also located on the Site and shall govern the use of the intellectual property of third parties on the Site. The terms of the Privacy Policy and the Copyright Notice are hereby incorporated by reference and you are hereby bound by such terms when using this Site.

Member'S CODE

To demonstrate the high quality of the Members of Staniuny, we ask that you, as a Member, make a commitment to the Member's Code, as listed below.

• I will conduct myself in a respectful manner at all times.
• I will only share stories, photos and comments that "Gramma will like to hear". Do not insult or disparage other members.
• I will contact Staniuny when I believe information about a member is incorrect, whether name spelling, dates, relations.
• I will contact Staniuny if I believe posted material is inappropriate.
  
  

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE AGREEING TO BECOME A Member ON THIS WEBSITE.

This Agreement contains all of the terms and conditions between Staniuny, ("Staniuny") and you ("Member") and governs the use of the services offered at the Staniuny Web site (the "Site"). By clicking on the "I Agree" button to submit a Member Application, Member agrees that (I) Member has read this Agreement and understands all of its contents and (II) if such Member Application is approved, Member will be subject to all the terms and conditions in the Agreement. By accessing and using this Site as a Member, you are hereby agreeing to be legally bound by the terms and conditions of this Member Agreement. If you do not agree with all of the following terms and conditions, please do not use this Site. We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. GENERAL TERMS
Staniuny enables researching the relationships between Members.

Member Profile
Staniuny provide each Member a profile on the Site, as well as statistical tools to see how others are interacting with your profile and its content.

Term of Agreement
This Agreement will become effective as of the date of the Member's first login. Staniuny has the right to suspend access or participatory tools of any Member for any reason without warning. Furthermore, Staniuny may terminate this Agreement immediately for any breach by Member of this Agreement or any applicable policy of Staniuny posted on the Site. In the event of termination or expiration, the following sections shall survive: Term of Agreement; Ownership of Intellectual Property; Disclaimer and Limitation of Liability; Privacy Policy and Copyright Notice; Notice; Indemnification and Miscellaneous. In the event that Staniuny modifies any of its policies posted on the Site, Member's continued participation in the Service shall constitute Member's acceptance of such modification.

1. Description of Service.
Staniuny will provide Member with one profile on the Site. A relationship to at least one other member is a requirement. The specific features and functionality of the Site are to be determined solely by Staniuny and are subject to change without notice.

The Member agrees to immediately notify Staniuny of any unauthorized use of the The Member's password or account or any other breach of security.

The Member agrees (a) to abide by all applicable laws and regulations in Member's use of the Site and participation in the Service; (b) not to interfere with the use and enjoyment of the Site by other Members or Members; (c) to be solely responsible for the contents of Member's transmissions through the Service; (d) not to interfere with or disrupt the Site or servers or networks connected to the Site; (e) to comply with all requirements, procedures, policies and regulations posted on the Site by Staniuny from time to time and or any networks connected to the Site; (f) that entering into this Agreement and Member's delivery of services to Members shall not breach any agreement with any third party; (g) not to transmit through the Service any unlawful, harassing, libelous, privacy invading, abusive, threatening, harmful, vulgar, or otherwise objectionable material of any kind; (h) not to transmit any material that violates the rights (including intellectual property rights) of another; (i) not to transmit any material that violates any applicable local, national, or international law or regulation; (j) not to attempt to gain unauthorized access to other computer systems or networks connected to the Site; and (k) not to transmit "junk mail", "spam", "chain letters", or unsolicited mass distribution of email or bulletin board postings.

3. Staniuny Responsibilities.

• Staniuny will provide customer service to Members. The Comm icon - is how Members can communicate with Staniuny administration. Responses to queries by members will be done with email, outside of the Staniuny system.
• Staniuny will be responsible for all administrative aspects of the Member transactions; namely, tracking the volume and amount of Member transactions generated by Member, and for providing information to Member regarding Member transactions activity ("Member Transaction Report"). The form, content and frequency of the Member Transaction Reports provided to the Member might vary from time to time.

4. Modifications to the Service or the Site.
Staniuny reserves the right to modify or discontinue, temporarily or permanently, the Service or the Site with or without notice to the Member. the Member agrees that Staniuny shall not be liable to the Member or any third party for any modification or discontinuance of the Service or the Site.

5. The Affiliate Service.
Staniuny offers Member the ability to participate in Staniuny's Affiliate Service whereby Staniuny will provide to Member a hypertext link, graphic and/or logo ("Staniuny Link") for placement on the Member's Web site. Staniuny hereby grants to Member a personal, revocable, non-perpetual, non-exclusive, non-assignable, non-transferable, non-sublicenseable right to display the Staniuny Link on the Member's Web site solely in connection with the terms and conditions hereunder. Member agrees not to alter or modify the Staniuny Link or display the Staniuny Link in any manner, which is disparaging or otherwise damages Staniuny's goodwill or good reputation. The Member's breach of any of the foregoing obligations may result in immediate termination of this Agreement by Staniuny. Upon termination or expiration of this Agreement, the Member will promptly remove any Staniuny Links from Member's Web site.

6. Ownership of Intellectual Property.
All site software, design, text, images, photographs, illustrations, audio clips, video clips, artwork, graphic material, or other copyrightable elements, and the selection and arrangements thereof, and trademarks, service marks and trade names (the "Material") are the property of Staniuny, and/or its subsidiaries, affiliates, assigns, licensors or other respective owners and are protected, without limitation, pursuant to U.S. and foreign copyright and trademark laws. Use of Staniuny and/or its licensors' Material is only permitted with Staniuny's express written permission. 7. Limited License.
Staniuny hereby grants the Member a personal, revocable, non-perpetual, non-exclusive, non-assignable and non-transferable license to use the Site provided that Member does not (i) copy, modify, create a derivative work of, reverse engineer, reverse assemble, decompile or otherwise attempt to discover any source code, (ii) modify or attempt to modify the Site in any manner or form or (iii) otherwise violate any of the terms and conditions of this Agreement or other terms that govern the use of the Site.

8. Disclaimer and Limitation of Liability.
This site and all materials contained on it are distributed and transmitted on an "as is" and "as available" basis, without warranties of any kind, either expressed or implied, including, without limitation, warrienties, or merchantability or fitness for a particular purpose.

To the fullest extent permissible pursuant to applicable law, Staniuny, its affiliates, and their respective officers, directors, employees, agents, licensors, representatives, and third party providers to the site will not be liable for damages of any kind including, without, limitation, compensatory, consequential, incidental, indirect, special or similar damages, that may result from the use of, or the inability to use, the materials contained on this site, whether the material is provided or otherwise by Staniuny or any third party.

The Member acknowledges and agrees that Staniuny expressly disclaims any liability with respect to any claim; suit or action brought by a Member in connection with the provision of any services by Member through the Service and Member agrees to indemnify and hold harmless Staniuny in connection with any claim.

The Member agrees not to hold Staniuny, Staniuny's agents and employees, officers, directors, or participants in Staniuny's affiliate Service liable for any information or services which originated through the Site and releases all such persons from claims, demands and damages (actual or consequential) of every kind and nature, known and unknown, disclosed and undisclosed, arising out of or in any way connected with such disputes.

9. Privacy Policy and Copyright Notice.
Staniuny's privacy statement located on the Site, as modified by Staniuny from time to time, shall govern any disclosure or use of Member's personal information. Staniuny's Copyright Notice is also located on the Site and shall govern the use of the intellectual property of third parties on the Site. The terms of the Privacy Policy and the Copyright Notice are hereby incorporated by reference and you are hereby bound by such terms when using this Site.

10. Indemnification.
Member agrees to indemnify, defend and hold harmless, Staniuny, its affiliates, and their respective officers, directors, employees, agents, licensors, representatives, and third party providers to the Site from and against all losses, damages, suits, judgments, costs and expenses (including litigation costs and reasonable attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against Staniuny or such party, to the extent that such claim, suit, action or other proceeding is based on or arises from: (a) any breach of any representation, warranty, covenant or agreement to be performed by Member hereunder; (b) the Member's provision of services to any third party, regardless of whether or not they are Members of the Staniuny service and (c) any materials that the Member has posted to the Site and/or any content on Member's Web site or otherwise provided to Members; provided that Staniuny provides the Member with written notice of such claim, suit or action and reasonable information and assistance related to defending and/or settling any such claim, suit, action or other proceeding. Staniuny reserves the right to assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with Staniuny in asserting any available defenses. the Member represents and warrants that it maintains and will continue to maintain adequate insurance if such insurance is required by any applicable laws or regulations, which apply to the provision of services by the Member.

11. Notice.
Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail return receipt requested, or electronic mail. The date of receipt shall be deemed the date on which such notice is given.

12. No Assignment.
The Member shall not assign this Agreement or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of Staniuny. Any purported transfer, assignment or delegation by Member without the appropriate prior written approval will be null and void and of no force or effect.

13. Miscellaneous.
This Agreement contains the entire understanding and supersedes all prior understanding of the parties hereto relating to the subject matter hereof, and cannot be changed or terminated orally. If any provision of this Agreement is found to be illegal or unenforceable, the Agreement will be deemed curtailed to the extent necessary to make it legal and enforceable and will remain, as modified, in full force and effect. Nothing in this Agreement shall be construed as making either party the partner, joint venture, agent, legal representative, employer, contractor or employee of the other. Neither party shall have, or hold itself out to any third party as having, any authority to make any statements, representations or commitments of any kind, or to take any action that shall be binding on the other except as provided for herein or authorized in writing by the party to be bound.
